It is of utmost importance that you understand what, when, who and why we have contact with Regulators. The Contact with Regulators policy makes reference to the following and informs employees with principles governing all regulatory interactions. What is important for you to note is the following:

         1. The Contact with Regulators Policy applies to all employees and is supported by the Conduct Risk Framework.

         2. Who is in scope with regards to contact with Regulators Policy? All employees are in scope of the policy including consultants,                    contractors and temps.

         3. Underlying Principles:

               a) Maintaining transparency regarding Absa and elected Regulatory facing colleagues in their various roles and divisions. This                          transparency covers any delivery and commitment made by Absa and regulatory facing elected delegates within Absa                                  Functions.

               b) We are also required to ensure that we maintain a consistent and coordinated approach when dealing and interacting with                        Regulators.

               c) Absa is required to communicate with a range of regulators inline with our business activities on a continent wide or global                        scale. In order to maintain positive relationships in our regulatory engagements we are required to ensure that we                                        communicate as and when needed and that our requests or response to requests are accurate, prompt, transparent and                           follow our Absa Way Code of Ethics guidelines.

                d) When it comes to issue management, we as an entity including the employees of the entity Absa are required by Group                               Regulatory Relations and CIB Regulatory Relations teams to log interactons and requests to and from Regulators on the                               Group Regulatory Relations Engagement System for tracking, monitoring and reporting purposes. This way we track and                             maintain the right assurance processes, highlight deficiencies and or make relevant recommendations and close out                                   outstanding actions and commitments made.

Who is responsible for intera cting and liaising with Regulators?

An example we can provide for teams that handle regulatory relations queries are (2nd Line of Defence which is Compliance, Risk, Legal and Audit or the identified Regulatory team within CIB Compliance or business teams. Please take some time to go through the content provided on the attachment and Au Fait yourselves with the different regulators we interact with in the CIB Space. Also note that there will be assigning mandatory awareness training to all colleagues regarding Regulatory Relations and role specific modules to Representative officers or elected delegates that are authorised to interact with regulators.

Business with the assistance of Business Unit Compliance must update the SharePoint Regulatory license site with the license data within five (5) business days after a decision has been made or five (5) business days after the outcome of an application has been granted or declined.

A Notification must be sent to Central Compliance in the following instances:

         Identification by business of a need to:

              •Apply for a new license; and/or

              •Amend an existing license; and/or

              •Cancel, withdraw or lapse an existing license.

              •When the final outcome of the application has been received (e.g. approval or rejection) in relation to:

              •A new license; and/or

              •An amended license; and/or

              •A cancelled, withdrawn or lapsed license.
